Top Himbo Contest — Official Rules

Counsel-review draft — August 4, 2026. Not approved for publication.

Bracketed text and COUNSEL DECISION notes must be resolved before this document can become the Official Rules. This draft is written as a skill contest, with no random selection or chance-based tie-breaker. It should not be used to accept entries until counsel approves the final rules, the Sponsor locks the dates and prize value, and all launch items in the companion bonding and launch memo are complete.

Material terms summary

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE AN ENTRANT’S CHANCES OF WINNING. THIS IS A CONTEST OF SKILL. VOID WHERE PROHIBITED.

If this summary conflicts with the complete Official Rules below, the complete Official Rules control.

1. Agreement to the Official Rules

By entering, an entrant agrees to be bound by these Official Rules and the Sponsor’s decisions made in accordance with them. The Sponsor’s decisions concerning administration, eligibility, scoring, and interpretation are final to the extent permitted by law. Winning is contingent on satisfying all requirements in these Official Rules and any separate finalist or winner agreement presented before the entrant elects to continue.

The Contest is not sponsored, endorsed, administered by, or associated with Instagram, TikTok, YouTube, Meta, or any other social platform. Entrants release those platforms from claims arising from the Contest to the extent permitted by law. Questions should be directed to the Sponsor, not to a social platform.

2. Eligibility

The Contest is open only to a natural person who, at the time of entry:

  1. is a legal resident of [the 50 United States or the District of Columbia];
  2. is at least 18 years old and has reached the age of majority in the entrant’s state or district of residence;
  3. is legally authorized to work in the United States for the duration of the proposed ambassador engagement [without Sponsor sponsorship];
  4. can travel to [Miami-Dade County, Florida and any other disclosed production location] on the dates described in the finalist or winner agreement; and
  5. can lawfully enter the proposed ambassador relationship described in Section 8.

Employees, officers, directors, and contractors of the Sponsor and any Contest administrator, judging organization, advertising or production agency, and members of their immediate families or households are not eligible. “Immediate family” means spouse, domestic partner, parent, child, sibling, and each of their spouses or domestic partners.

The Sponsor may require proof of identity, age, residence, work authorization, and eligibility. The Contest is void outside the eligible territory and wherever prohibited or restricted by law.

COUNSEL DECISION — eligibility and employment: Confirm the eligible territory; whether “without Sponsor sponsorship” is appropriate; travel requirements; contractor-versus-employee structure; equal-employment and casting implications of the campaign name, “guy/he” copy, height field, and any gender-related eligibility; and whether a background check will be used. If a third-party employment background report is contemplated, add the required standalone disclosure/authorization and adverse-action process rather than relying on these rules.

3. Entry period and Sponsor’s clock

The Entry Period begins at [TIME] Eastern Time on [DATE] and ends at [TIME] Eastern Time on [DATE]. The Sponsor’s server is the official timekeeping device. An entry is received only when the Sponsor’s system records the complete application and required media as submitted. Starting an application, obtaining an upload link, uploading only part of an application, or being nominated does not constitute entry.

The anticipated Contest schedule is:

Stage Date or period
Entry Period [DATES]
Eligibility review and initial judging [DATES]
Finalists notified privately [DATE/RANGE]
Finalist agreement due [DATE]
Challenge period [DATES]
Fan Engagement period [DATES]
Winner verification [DATE/RANGE]
Anticipated winner announcement [DATE]
Ambassador engagement [START AND END / TERM]

COUNSEL DECISION — fixed dates: Lock every date before filing or publication. Florida prohibits changing filed rules for a covered game promotion. Avoid opening or broadly promoting the Contest until counsel confirms whether any state filing is required and has become effective.

4. How to enter

During the Entry Period, visit https://www.himbos.com/next, follow the instructions, and submit all required information, including:

The technical requirements and size limits shown on the application form are part of these Official Rules. The current limits are photographs in JPEG, PNG, WebP, HEIC, or HEIF format up to 10 MB each, and uploaded casting video in MP4, MOV, or WebM format up to 50 MB. A private external video link must remain accessible to the Sponsor through at least [DATE].

Limit one entry per person. Additional entries, entries made through multiple identities or accounts, and automated, scripted, generated-in-bulk, purchased, or mechanically reproduced entries may be disqualified. No purchase, payment, donation, social follow, public post, tag, or referral is required.

An individual may nominate a potential entrant by providing only the information requested by the nomination form. A nomination does not enter the nominee, improve the nominee’s score, subscribe anyone to marketing, or obligate the Sponsor to contact the nominee. A nominee must independently submit a complete application and accept these Official Rules.

Normal internet and mobile-provider charges may apply. Those ordinary connectivity charges are not paid to the Sponsor and do not improve an entrant’s opportunity to win.

5. Submission requirements and entrant promises

The application, written answers, photographs, video, and any later challenge material are collectively the “Submission.” The entrant represents and warrants that:

  1. the entrant created the Submission or has all permissions necessary to submit it and grant the limited rights in these Official Rules;
  2. every identifiable person appearing in the Submission is at least 18 years old and authorized the entrant to include that person’s image, voice, or performance;
  3. the Submission does not infringe copyright, trademark, privacy, publicity, contract, or other rights;
  4. the Submission does not contain unlawful, threatening, harassing, hateful, defamatory, sexually explicit, dangerous, or materially deceptive content;
  5. the Submission does not expose sensitive personal information about another person;
  6. all entry information is accurate and the entrant has not misrepresented identity, residence, qualifications, audience, or engagement; and
  7. the Submission complies with these Official Rules and any applicable platform terms.

The Sponsor may disqualify a Submission that objectively fails these requirements, is incomplete, cannot be accessed, or creates a material legal, safety, security, or brand-suitability risk. The Sponsor will not disqualify an otherwise eligible entry arbitrarily or change the judging criteria after the Entry Period begins.

Use of generative AI to create or materially alter an entrant’s appearance, voice, written answers, or claimed real-world actions is prohibited. Ordinary lighting, cropping, color correction, minor retouching, spelling assistance, and accessibility tools are permitted when they do not create a materially false depiction or representation.

COUNSEL DECISION — AI and moderation: Confirm the policy and escalation process for potentially disqualifying content. Preserve the approved business decision that no AI-replica, synthetic-voice, digital-double, generative-model-training, or AI-generated-performance rights are granted through the ordinary application or included in the base ambassador compensation.

6. Judging and winner selection

6.1 Initial judging

A panel selected by the Sponsor will score each eligible entry using the following skill criteria:

Criterion Weight What the judges evaluate
Kindness, character, and community-mindedness 30% The entrant’s demonstrated warmth, integrity, generosity, and treatment of others
Authenticity and humor 20% A genuine, self-aware personality and the ability to be funny without cruelty or posturing
Communication and camera presence 20% Clear, engaging, natural communication suitable for photo and video work
HIMBOS ambassador fit 20% Confidence without arrogance, emotional approachability, welcoming energy, and alignment with the published HIMBOS values
Coachability, reliability, and practical readiness 10% Ability to follow directions, meet reasonable commitments, collaborate, travel, and perform the disclosed engagement
Total 100%

The highest-scoring eligible entrants, subject to verification, will be invited to become finalists. The Sponsor anticipates selecting [NUMBER] finalists but may select fewer if fewer entries meet a minimum score of [SCORE] or satisfy the eligibility and safety requirements.

6.2 Finalist challenges and fan engagement

Before participating, each finalist will receive and may choose whether to sign a separate finalist agreement that discloses the challenges, schedule, location, stipend or expense reimbursement, safety rules, content-use permissions, confidentiality terms, and withdrawal consequences. An entrant who declines does not become a finalist, and the Sponsor may invite the next highest-scoring eligible entrant.

Finalists will complete [NUMBER] disclosed challenges designed to evaluate the same skills listed above. A judging panel will score the challenge performances under a written scorecard provided to finalists before the first challenge.

The Sponsor may feature finalists and invite the public to view, like, comment on, or share finalist content. This activity is “Fan Engagement” for entertainment and community participation only. Fan Engagement is not voting, has no scoring value, and will not affect eligibility, judging scores, tie-breakers, finalist selection, winner selection, compensation, or any other Contest outcome. Judges will not consider likes, comments, shares, views, follower counts, audience size, or other engagement metrics. Where operationally practical, engagement metrics will be withheld from judges until their scorecards are complete.

The Sponsor will provide finalists with reasonably comparable promotional opportunities under its control, but does not guarantee equal third-party platform distribution, reach, or engagement. No Fan Favorite recognition will include money, additional services, a contract advantage, a prize, or judging benefit unless it is governed by separately approved terms.

The finalist with the highest panel score will be the potential winner. Chance will not determine the winner. Ties will be broken by the tied finalist’s higher score in this order: (1) kindness, character, and community-mindedness; (2) authenticity and humor; (3) communication and camera presence; (4) HIMBOS ambassador fit; and (5) coachability, reliability, and practical readiness. If a tie remains, the judging panel will rescore only the tied finalists against the first criterion using a documented scorecard. No engagement metric, coin flip, drawing, randomized process, or time-of-entry preference will be used.

COUNSEL/FOUNDER DECISION — mechanics: Confirm the number of finalists and challenges; minimum qualifying score; judges and conflict rules; exact scorecard; operational separation of engagement metrics from judging; finalist stipend; reimbursable expenses; and whether any finalist content will be used publicly or commercially. Public-facing challenge work should not become uncompensated advertising inventory.

7. Notification and verification

The Sponsor will attempt to notify each potential finalist and the potential winner using the email address or telephone number in the application. A potential finalist or winner must respond within [THREE BUSINESS DAYS] and complete any eligibility affidavit, tax form, release, and separate finalist or ambassador agreement by the stated deadline.

If a potential finalist or winner cannot be contacted, does not respond on time, is ineligible, declines the applicable agreement, or fails verification, the entrant may be disqualified and the Sponsor may approach the next highest-scoring eligible entrant. The Sponsor may publicly announce a winner only after verification and execution of the ambassador agreement.

8. Prize and ambassador engagement

One verified winner will be offered the following prize package:

Component Description ARV
Guaranteed ambassador compensation Paid [EMPLOYEE / INDEPENDENT-CONTRACTOR] engagement for six months, conditioned on performing the obligations in a separately disclosed agreement; guaranteed gross compensation of $25,000, intended to be paid in six installments approximately every 30 days, subject to mandatory payroll and worker-classification law $25,000
Wardrobe and grooming stipend Cash stipend to support reasonable wardrobe, grooming, and presentation needs for the ambassador engagement; not a reimbursement and not deducted from service compensation $3,000
Physical appearances Six appearances during the six-month term, each capped at four working hours, scheduled on at least 14 days’ written notice unless the winner voluntarily accepts shorter notice Included in guaranteed compensation
Podcast interviews Ten interviews during the six-month term, each capped at 90 recorded minutes plus reasonable preparation Included in guaranteed compensation
Production Four professional photo or video shoot days during the six-month term, each capped at six working hours and scheduled on at least 14 days’ written notice unless the winner voluntarily accepts shorter notice Included in guaranteed compensation
Required travel Sponsor-paid or reimbursed reasonable transportation, lodging, local transportation, and per diem for required appearances and production. Required travel costs are not deducted from cash compensation or the stipend. $8,000 attributed ARV
HIMBOS products HIMBOS skincare supplied during the six-month ambassador term, subject to product availability and reasonable shipment scheduling $1,000 ARV
Portfolio material [NUMBER] agreed edited photographs and [NUMBER] agreed edited video clips from included production, licensed to the winner for personal portfolio use under the ambassador agreement Included in production; no separate ARV assigned
Event invitations Optional invitations to HIMBOS events and launches beyond required appearances, subject to availability; no additional travel benefit unless separately stated No guaranteed separate ARV
Additional services No personal social-media posts are required in the base engagement. Any appearance, interview, post, shoot session, or other service beyond the stated package requires a separate written agreement at a mutually agreed, then-current fair-market rate documented before the service. The winner has no obligation to accept additional work. Not included
Total prize package ARV $25,000 service compensation + $3,000 stipend + $8,000 attributed travel + $1,000 products $37,000

The title “Chief Himbo Officer” is a promotional ambassador title and is not a corporate-officer role. The base engagement includes six physical appearances of no more than four working hours each and ten podcast interviews during the six-month term. Each physical appearance requires at least 14 days’ written notice unless the winner voluntarily accepts a shorter period. No personal social-media post is required unless the winner separately agrees in writing to the post and its compensation. Required travel expenses are paid or reimbursed separately and are not deducted from the $25,000 guaranteed service compensation or the $3,000 wardrobe and grooming stipend.

Any exclusivity is limited to paid endorsements or ambassador services for directly competing men’s skincare brands during the six-month term. It does not prohibit unrelated modeling, entertainment, podcast, employment, creator, or endorsement work. Counsel should define “directly competing men’s skincare brand” objectively in the ambassador agreement.

The business intent is to pay the $25,000 in six installments approximately every 30 days, with the final installment adjusted so the total equals exactly $25,000. Counsel must adapt the cadence to any mandatory payroll-frequency rule and the final worker classification. The base engagement includes four production shoot days of no more than six working hours each, scheduled on at least 14 days’ written notice unless the winner voluntarily accepts shorter notice.

The exact installment dates, scheduling process, approval process, classification, expense and per-diem policy, travel-time treatment, termination rights, and additional-service rates will appear in the ambassador agreement supplied to finalists before they decide whether to continue. “Then-current fair-market rate” does not authorize unilateral rate setting; every additional service and its compensation must be mutually agreed in writing before the service, and the winner may decline without breaching the base agreement.

8.1 Content and likeness usage

For photography, audio, and video in which the winner actually performs or appears under the ambassador agreement, the proposed base usage is:

Renewed or materially expanded commercial use requires a separate written extension and additional compensation. The ambassador agreement must address edits, excerpts, captions, translations, media, territory, credit, portfolio use, takedown timing, and preexisting campaign materials.

8.2 Digital replicas and generative AI

No right to create or use a digital replica, synthetic voice, digital double, AI-generated performance, or materially synthetic new image of the winner is included in the Contest prize, $25,000 compensation, ordinary application license, or base content license. No application, photograph, recording, voice, likeness, or performance may be used to train or fine-tune a public, shared, or third-party generative model.

Any future AI use requires a separate, optional, affirmatively signed rider for a specifically identified campaign. The rider must state the source materials, exact purpose, outputs, media, territory, duration, rate of pay, approval process, production vendors, security, provenance or disclosure requirements, deletion obligations, and permitted post-term archives. It must prohibit sublicensing other than to controlled production vendors; public or third-party model training; synthetic testimonials or product claims; and sexual, political, medical, defamatory, or other sensitive uses. The individual must approve each final output in writing before public or commercial use. Declining an AI rider will not breach or reduce payment under the base ambassador agreement.

Actual value may vary, but the Sponsor will not award cash for a difference between stated and actual value. The prize may not be transferred or substituted by the winner. The Sponsor may substitute an item with one of equal or greater value if an advertised non-cash item becomes unavailable for reasons outside its reasonable control, subject to applicable law. All federal, state, and local taxes are the winner’s responsibility. The Sponsor will issue tax reporting when required.

COUNSEL/FINANCE DECISION — prize versus pay: Determine which items are contest prizes, taxable compensation, stipends, or reimbursed business expenses. The current itemization is $25,000 service compensation, a $3,000 cash wardrobe/grooming stipend, $8,000 attributed required-travel value, and $1,000 product ARV, producing a $37,000 total ARV. Finance must substantiate the travel and product estimates before publication. If maximum required travel exposure could exceed $8,000, increase the disclosed ARV and any required bond rather than shifting required costs to the winner. Confirm wage-hour, worker-classification, payroll frequency, insurance, tax-reporting, and right-of-publicity treatment.

9. Limited license; privacy; publicity

9.1 Ordinary application

An entrant retains ownership of the entrant’s Submission. The entrant grants the Sponsor and its service providers a non-exclusive, non-transferable (except to service providers), royalty-free license during the Contest administration and retention periods to host, copy, transcode, and review the Submission solely to administer, secure, document, and evaluate the Contest and to communicate with the entrant. This ordinary application does not grant perpetual publicity or likeness rights, exclusivity, or rights to create or use an AI replica, synthetic voice, digital double, or simulated likeness.

9.2 Finalists and winner

Any public display, editing, advertising use, commercial reuse, exclusivity, production obligation, or broader name/likeness license for finalists or the winner must be stated in a separate written agreement presented before that use. Participation in public challenges may necessarily require a limited, disclosed license for Contest coverage; that license, its term, media, territory, editing rights, and compensation must appear in the finalist agreement.

9.3 Personal information and retention

The Sponsor will process entry information as described in these Official Rules and the Privacy Policy at https://www.himbos.com/privacy. Application records and media are stored privately and made available only to authorized personnel and service providers with a need to administer or evaluate the Contest.

Proposed retention schedule, subject to counsel approval:

An entrant may request access, correction, or deletion as described in the Privacy Policy, but deleting required application material before judging is complete may make the entry impossible to evaluate and will be treated as withdrawal. Contest-related contact is transactional and separate from optional marketing consent.

COUNSEL/PRIVACY DECISION: Approve the retention periods and privacy-policy update; confirm state applicant-privacy notices; define the authorized casting-review group; and determine whether finalist screening, facial/voice analysis, or other biometric or automated decision tools will be prohibited. The current product should not perform facial recognition or train AI models on applicant media.

10. Conduct, technical issues, and integrity

The Sponsor may disqualify a person who tampers with entry or voting; uses bots or multiple identities; interferes with another entrant; threatens judges, finalists, or voters; obtains votes through payment or deception; violates these Official Rules; or acts in a way that materially threatens safety or Contest integrity.

If fraud, malware, platform failure, natural disaster, public-health event, labor disruption, legal restriction, or another circumstance beyond the Sponsor’s reasonable control materially impairs the Contest, the Sponsor may pause, modify, or cancel only to the extent reasonably necessary and permitted by law. If the Contest is ended after eligible entries have been received, the Sponsor will, where feasible, select a winner from unaffected eligible entries using the disclosed skill criteria. The Sponsor will not use this section to change the prize, judging criteria, or entrants’ rights merely for convenience.

The Sponsor is not responsible for late, incomplete, corrupted, misdirected, inaccessible, or lost transmissions caused by systems outside its reasonable control. If there is a dispute about the identity of an entrant, the Sponsor may treat the authorized account holder of the submitted email address as the entrant, subject to proof of identity and eligibility.

11. Releases and limitations

To the extent permitted by law, each entrant releases and holds harmless the Sponsor, Contest administrator, judges, production providers, advertising agencies, and their respective officers, directors, employees, and agents from claims arising directly from participation in the Contest or acceptance or use of a prize, except for claims that cannot lawfully be waived and claims arising from a released party’s gross negligence, willful misconduct, or use of a Submission beyond the rights granted by the entrant.

Nothing in these Official Rules limits non-waivable consumer, employment, privacy, publicity, or other statutory rights. The Sponsor makes no representation that entering will result in selection, employment, publicity, or a continuing relationship.

COUNSEL DECISION — releases: Tailor the release and liability language to the eligible jurisdictions, production activities, travel, finalist challenges, and worker classification. Add event-specific waivers and insurance requirements where appropriate rather than overloading the entry form.

12. Governing law and disputes

These Official Rules are governed by Delaware law, without regard to conflict-of-laws principles, except that mandatory law in an entrant’s jurisdiction continues to apply where it cannot be waived. Before filing a claim, an entrant should send a written description to hi@himbos.com or the Sponsor’s mailing address so the parties can attempt informal resolution. Unless applicable law requires otherwise, state and federal courts located in Delaware will have exclusive jurisdiction and venue.

COUNSEL DECISION — dispute terms: Confirm whether the website Terms’ Delaware court provision should control, whether a contest-specific arbitration/class-waiver provision is desirable and enforceable, and which claims must be excluded.

13. Winner information

After the winner is verified, the Sponsor will publish the winner’s [first name, last initial, city, and state] at https://www.himbos.com/[WINNER-PATH] for at least [90 days]. A copy may also be requested by emailing hi@himbos.com with “Top Himbo Winner” in the subject line by [DATE]. The Sponsor will not publish a winner’s street address. Any government filing required by law may contain additional information.
